LICENSE AGREEMENT

IMPORTANT - READ THIS CAREFULLY - THIS LICENSE AGREEMENT is a legal contract between you and Every Nation Churches, Inc. ("Owner"), a corporation, organized and existing under the laws of Tennessee, located and doing business at 783 Old Hickory Blvd, Suite 210E, Brentwood to use the Marks set forth in Schedule A attached.

Whereas, Owner is the owner of the trademarks and servicemarks ("Marks"), and applications for registrations and/or registrations, which are listed on Schedule A attached; and

Whereas, you desire to use the Marks in connection with an operation, project, program, or the like that you desire to implement;

Therefore, in consideration of the above and of the mutual promises that follow, the parties agree as follows:

1. CLICK THROUGH ACCEPTANCE
   BY CLICKING THE "I AGREE" ICON AND BY DOWNLOADING THE DOCUMENT "EVERY NATION STYLE GUIDE" ("STYLE GUIDE") AVAILABLE ON OWNER'S WEB SITE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS LICENSE AGREEMENT, INCLUDING ITS QUALITY CONTROL PROVISIONS AND ITS TERMINATION PROVISIONS. IF YOU DO NOT AGREE TO THE TERMS OF THIS LICENSE AGREEMENT, DO NOT DOWNLOAD THE STYLE GUIDE AND EXIT NOW.
   
   
2. GRANT OF LICENSE
   Owner grants to you a nonexclusive, nontransferable license to use the Marks in connection with the goods and/or services identified in Schedule A and you accept the license subject of the following terms and conditions.
   
   
3. OWNERSHIP OF MARKS
   You acknowledge the ownership of the Marks by Owner, agree that you will do nothing inconsistent with such ownership, and that all use of the Marks by you shall inure to the benefit of and be on behalf of Owner. You agree to assist Owner in recording this Agreement with the appropriate government authorities, if necessary. You agree that nothing in this License Agreement gives you any right, title or interest in the Marks other than the right to use the Marks in accordance with this License Agreement and you agree that you will not attack the title of Owner to the Marks or attack the validity of this License Agreement, including your ability to be bound by its terms by "clicking" your acceptance as stated in item one above.
   
   
4. QUALITY STANDARDS
   You agree that the nature and quality of all goods and services rendered by you in connection with the Marks and all related advertising, promotional and other related uses of the Marks by you shall conform to standards set by and be under the control of Owner, or whom the Owner directs.
   
   
5. QUALITY MAINTENANCE
   You agree to cooperate with Owner in facilitating Owner's control of such nature and quality, to permit reasonable inspection of your project, program, operation or the like, relating to use of the Marks, and submit to any approval process required by Owner. You agree to supply Owner with specimens of all uses of the Marks upon request. You shall comply with all applicable laws and regulations and obtain all appropriate government approvals pertaining to the sale, distribution and advertising of goods and services covered by this License Agreement, if necessary.
   
   
6. FORMS OF USE
   You agree to use the Marks only in the form and manner and with appropriate legends as prescribed from time to time by Owner, and which are currently set forth in Owner's Style Guide, which is downloadable from Owner at the following Web address: logos.everynation.org. You agree not to use any other trademark or service mark in combination with any of the Marks without prior written approval of Owner.
   
   The forms of use authorized by Owner in its current Style Guide may change from time to time and new Marks may be added to the Style Guide or other such similarly titled document that relates to the "form of use" of the Marks. You agree that any new Marks provided to you by Owner are hereby incorporated by reference into your License Agreement as if originally set forth herein. You consent and agree to Marks being added to Your License Agreement by way of any updated Style Guide or other similarly titled "form of use" document. You agree to conform to the most recent standards as set forth in the most recent Style Guide or in any other similarly titled "form of use" document provided to You by Owner.
   
   
7. STYLE GUIDE
   Owner's Style Guide is protected by U.S. copyright. All right, title and interest in and to Owner's Style Guide belongs to Owner.
   
   You agree not to forward, e-mail or otherwise copy in any form whatsoever, such as electronic or in paper form, Owner's Style Guide, except You are hereby authorized to make one (1) copy in any form whatsoever for personal, back-up use only. You are also authorized to make one (1) copy in any form whatsoever for personal, back-up use only any updated versions of the Style Guide that are provided to you by Owner.
   
   
8. INFRINGEMENT PROCEEDINGS
   You agree to notify Owner of any unauthorized use of the Marks by others promptly as it comes to your attention. Owner shall have the sole right and discretion to bring any action against an alleged infringer involving any or all of the Marks.
   
   
9. TERM
   This Agreement shall be effective from the date of "click" acceptance hereof by you and shall continue in force and effect for a term of one (1) year. This License Agreement is automatically renewable for additional one (1) year terms, unless the License Agreement is terminated in accordance with the provisions stated below.
   
   
10. TERMINATION
    Either party may terminate this License Agreement without cause upon thirty (30) days written notice to the other.
    
    Owner shall have the right to terminate this Agreement immediately in the event of any affirmative act of insolvency by you, or upon the appointment of any receiver or trustee to take possession of the properties of you or upon the winding-up, sale, consolidation, merger or any sequestration by governmental authority of you, or upon breach of any of the provisions hereof by you.
    
    
11. EFFECT OF TERMINATION
    Upon termination of this Agreement, you agree to immediately discontinue all use of the Marks and any term confusingly similar thereto, to cooperate with Owner or its appointed agent to apply to the appropriate authorities to cancel recording of this Agreement from all government records, to destroy all printed materials bearing any of the Marks and that all rights in the Marks and the good will connected therewith shall remain the property of Owner.
    
    
12. SCHEDULE A
    You hereby authorize Owner to insert into Schedule A any new Mark(s). You also authorize Owner to insert any Marks and the details associated with the filing of any applications for registrations associated with the Marks, such as the filing date and the serial number, even if these Mark(s) and details do not become known until after execution of this Agreement.
    
    
13. INTERPRETATION OF AGREEMENT
    It is agreed that this License Agreement may be interpreted according to the laws of the State of Tennessee.
